These Terms of Service ("Terms") govern access to and use of DentaStock™ AI, including our website, software platform, applications, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to these Terms. If you use DentaStock on behalf of a dental practice, company, or other organization, you represent that you have authority to accept these Terms on its behalf.
1. About DentaStock
DentaStock is an inventory management platform designed to help dental practices organize and manage supplies, inventory levels, purchasing, receiving, suppliers, expiration information, reporting, and related inventory activities.
Certain features may be identified as Coming Soon, beta, pilot, or early-access features and may not yet be generally available.
2. Accounts and Authorized Users
Users must provide accurate information and are responsible for maintaining the confidentiality of their login credentials.
Each dental practice is responsible for determining which individuals are authorized to access its DentaStock account and for appropriately assigning user roles and permissions.
Users are responsible for activity performed through their accounts except to the extent unauthorized access results from DentaStock's failure to maintain reasonable security safeguards.
3. Acceptable Use
DentaStock may be used only for lawful business purposes.
Users may not attempt to gain unauthorized access to another customer's account or data, interfere with the operation or security of the Services, introduce malicious software, circumvent security controls, reverse engineer the Services except where permitted by law, or use the Services to violate applicable law or the rights of others.
4. Customer Data
Customers retain ownership of the business and inventory data they submit to DentaStock.
Customers grant DentaStock the limited rights necessary to host, process, transmit, back up, secure, maintain, and otherwise handle that data for the purpose of providing and improving the Services.
Customers are responsible for the accuracy and legality of information entered into their accounts.
5. Patient and Health Information
DentaStock is designed primarily for inventory and supply management.
Unless DentaStock expressly provides a feature intended for that purpose and any legally required agreements are in place, customers should not enter patient medical records, protected health information (PHI), Social Security numbers, payment-card information, or other unnecessary sensitive personal information into inventory fields, notes, or other areas of the platform.
Use of DentaStock does not by itself establish that the Services are suitable for storing PHI or establish a HIPAA-compliant relationship.
6. Inventory Information and Decisions
DentaStock provides tools to assist with inventory management, including quantities, reorder information, expiration information, purchasing records, reports, alerts, and related information.
Customers remain responsible for verifying inventory quantities, product information, expiration dates, purchase orders, receiving information, supplier information, recalls, and other records before relying upon them for business or clinical decisions.
DentaStock does not replace professional clinical judgment or a practice's regulatory, purchasing, accounting, or compliance responsibilities.
7. AI and Automated Features
DentaStock may provide artificial intelligence, automated recommendations, alerts, forecasts, or similar functionality.
These features are intended to assist users and may occasionally produce incomplete, inaccurate, or outdated information.
Users should independently review important recommendations and information before taking action.
AI-generated information is not medical, legal, accounting, regulatory, or other professional advice.
8. Product Recalls and Compliance Information
Where DentaStock provides recall, traceability, expiration, regulatory, or compliance-related tools, those tools are intended to assist with organization and monitoring.
DentaStock does not guarantee that every recall, regulatory notice, expiration issue, or compliance obligation will be identified.
Customers remain responsible for determining and complying with laws, regulations, manufacturer instructions, recall notices, and professional requirements applicable to their practices.
9. Subscriptions and Fees
Some DentaStock Services may require a paid subscription.
Subscription plans, pricing, included features, billing periods, renewal terms, and applicable fees will be disclosed before a customer purchases a paid subscription.
Unless otherwise stated at purchase, applicable fees are non-refundable except where required by law.
DentaStock may change future pricing or plan features subject to applicable notice requirements and existing contractual commitments.
10. Pilot and Early Access Programs
DentaStock may offer pilot, beta, or early-access programs to selected practices.
Pilot features may be incomplete, modified, interrupted, or discontinued as the platform develops.
Feedback provided during a pilot program may be used to improve DentaStock, but participants retain ownership of their underlying business data.
Participation in a pilot program does not guarantee continued free access or any particular future subscription price.
11. Availability and Changes to the Services
DentaStock works to maintain reliable Services, but uninterrupted or error-free operation cannot be guaranteed.
Features may be updated, improved, added, modified, or discontinued as the Services evolve. When reasonably practicable, material changes affecting paid customers will be communicated appropriately.
12. Intellectual Property
DentaStock, its software, website, designs, branding, graphics, documentation, and related intellectual property are owned by or licensed to the operator of DentaStock and are protected by applicable intellectual-property laws.
These Terms provide permission to use the Services and do not transfer ownership of DentaStock intellectual property.
DentaStock™ and associated branding may not be used in a manner that falsely suggests sponsorship, endorsement, or affiliation.
13. Third-Party Services
DentaStock may integrate with or rely upon third-party services.
Those services may be governed by separate terms and privacy practices. DentaStock is not responsible for third-party services outside its reasonable control.
14. Suspension and Termination
DentaStock may suspend or terminate access when reasonably necessary because of material violations of these Terms, unlawful activity, security threats, nonpayment of applicable fees, or misuse of the Services.
Customers may stop using DentaStock subject to applicable subscription or contractual obligations.
15. Disclaimers
To the extent permitted by law, the Services are provided on an "as is" and "as available" basis.
DentaStock does not guarantee that inventory records, alerts, forecasts, AI-generated information, recall information, or other outputs will always be complete, accurate, current, or error-free.
Nothing in the Services constitutes medical, legal, accounting, tax, or regulatory advice.
16. Limitation of Liability
To the maximum extent permitted by applicable law, DentaStock and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Services.
Any additional limitations applicable to paid subscriptions may be stated in the applicable subscription agreement or ordering terms.
17. Indemnification
To the extent permitted by law, customers agree to be responsible for claims arising from their unlawful use of the Services, violation of these Terms, or violation of another person's rights.
18. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
19. Changes to These Terms
These Terms may be updated as DentaStock evolves.
When material changes are made, the effective date will be updated and additional notice will be provided when required by law.
